Service Operator: AudiScribe is operated as a sole proprietorship.

Governing Law: These Terms of Service are governed by the laws of the State of New Jersey and the United States, without regard to conflict of law principles.

Note: AudiScribe is in the process of formal business entity formation. This information will be updated upon completion.

Acceptance of Terms

By accessing and using AudiScribe, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Service Description

AudiScribe is an AI-powered transcription service that converts audio and video files into text. We provide both free and premium tiers with different usage limits and features.

User Responsibilities

  • You must provide accurate account information
  • You are responsible for maintaining account security
  • You must only upload content you have rights to
  • You must not use the service for illegal purposes

Usage Limits

Free accounts are limited to 120 minutes (2 hours) of transcription per month. Paid accounts have higher limits based on their tier. We reserve the right to enforce fair usage policies to prevent abuse.

Third-Party Services

Our service uses third-party processors to deliver certain features:

  • Abacus.AI: Processes your transcription text for translation and punctuation enhancement when you use these optional features.
  • Stripe: Processes payment information when you subscribe to paid plans. We do not store your payment card details.
  • AWS (Amazon Web Services): Provides secure cloud storage for audio files with encryption at rest. Audio files are automatically deleted after 24 hours unless you choose to save them permanently.

By using our service, you acknowledge that your data may be processed by these third parties in accordance with their respective privacy policies. We only share the minimum data necessary to provide the requested features.

Data Privacy and Security

  • Audio files are automatically deleted after 24 hours unless you choose to save them. You have full control over which files to keep permanently. An automated cleanup process runs every 12 hours to remove expired files.
  • Your transcriptions remain private and are never shared with third parties
  • You can export all your data at any time from your Settings page
  • You can delete your account and all associated data permanently
  • We comply with GDPR and CCPA privacy regulations

Intellectual Property

You retain all rights to your uploaded content and generated transcriptions. AudiScribe retains rights to the service, software, and technology used to provide the transcription service. We do not use your content to train AI models or for any purpose other than providing the service to you.

Subscription and Cancellation

Paid subscriptions automatically renew unless cancelled. You can cancel your subscription at any time through your Stripe billing portal (accessible from the Dashboard). Upon cancellation, you retain access to paid features until the end of your current billing period.

Refund Policy & Money-Back Guarantee

7-Day Money-Back Guarantee

We offer a full refund within 7 days of your first subscription payment if:

  • You've used less than 25% of your monthly transcription quota
  • You contact us at [email protected] with your refund request
  • This is your first subscription with AudiScribe (one-time guarantee per customer)

After 7 days or if you've exceeded 25% usage, all payments are final and non-refundable.

We encourage you to start with our Free tier (120 minutes/month) to evaluate the service before upgrading to a paid plan.

Exceptions to this policy may be made at our sole discretion for:

  • Billing errors or duplicate charges
  • Technical issues that prevent service use for extended periods
  • Circumstances required by law

Refunds are processed through Stripe and typically take 5-10 business days to appear in your account.

Account Termination

Your Right to Terminate:

You may cancel your subscription and/or delete your account at any time through your Settings page.

Our Right to Terminate:

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent activity or payment disputes
  • Abuse the service or fair usage policy
  • Use the service for illegal purposes
  • Fail to pay subscription fees when due

We will provide reasonable notice before termination except in cases of serious violation, fraud, or legal requirement. Upon termination, you may export your data for 30 days, after which all data will be permanently deleted.

Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF TRANSCRIPTIONS
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OF DATA OR COMMUNICATIONS

We make no guarantee regarding transcription accuracy. You are solely responsible for reviewing and verifying all transcriptions before using them for any purpose.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDISCRIBE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • DAMAGES RESULTING FROM INACCURATE OR INCOMPLETE TRANSCRIPTIONS
  • SERVICE INTERRUPTIONS, DOWNTIME, OR DATA LOSS
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless AudiScribe, its operator, and any service providers from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Content you upload, submit, or share through the service
  • Any misuse of transcription data generated by the service

Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey and the United States, without regard to conflict of law principles.

Jurisdiction: Any disputes arising from these Terms or your use of the service shall be resolved exclusively in the state or federal courts located in New Jersey. You consent to the personal jurisdiction of such courts.

Waiver of Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Informal Resolution: Before filing any formal dispute, you agree to first contact us at [email protected] to attempt to resolve the matter informally.

Service Availability

We strive for high availability but make no guarantees regarding uptime or service availability. The service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our reasonable control (force majeure), including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, internet service disruptions, or third-party service failures.

Assignment and Severability

Assignment: We may assign our rights and obligations under these Terms to any party at any time without notice to you. You may not assign your rights or obligations without our prior written consent.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and AudiScribe regarding your use of the service and supersede all prior agreements, understandings, and communications, whether written or oral.

Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the service. Continued use after changes constitutes acceptance of the new Terms.
